Apprenticeship Program Agreement Revised 01.01.10

This agreement is between The Art Without Boundaries Association and the Apprentice-
Candidate.

The purpose of this agreement is so that the Apprentice-Candidate can completely
understand the program and the responsibilities of both parties. Although it is a legal
and binding contract, it has been written in plain English to be more understandable.

Terms and Definitions

AWBA
The Art Without Boundaries Association
MnemeCorp, LLC is the Association Management Company
Apprentice-candidate means you have been accepted into the AWB Apprenticeship
program, but you have not completed your training or received certification.
CMT Certified MnemeTherapist
MMT Master MnemeTherapist

The trademark sign, a superscript ™ on the trademarks, Art Without Boundaries™ and
MnemeTherapy™ is assumed in the remainder of this agreement and is legally held by
AWB founder, Noell Hammer

I. Organizational Structure of AWBA

The Art Without Boundaries Association
              
  1. AWBA is a non-profit professional organization seeking to further MnemeTherapy
    and the interests of individuals engaged in that profession. Members are
    represented by The Association Council.
  2. The AWBA members are represented by a Council. Members may volunteer to
    serve and will be accepted by a vote of the Council.
  3. The purpose of the Council is to  a) represent the members; b) set guidelines to
    follow concerning registering service areas to insure compliance with state and
    federal regulations and equal access by the public and c) decide on matters such
    as conflicts between AWBA Members; extended Maternity leave; reinstating
    Members and enforcing The Code of Ethics and Association Membership
    Agreement. d)The Council will elect officers and submit minutes of meetings to the
    Association Management Company.

    Applications, training, certification, continuing education and day-to-day
    operations are the responsibility of MnemeCorp, LLC, an Association

II. The Non-competition, Non-disclosure/CONFIDENTIALITY Covenant

  1. Regardless of the outcome of the qualification procedure, the non-competition,
    non-disclosure/CONFIDENTIALITY covenant of this Agreement shall stay in effect
    throughout the training of the Apprentice and shall extend into the membership of
    each Association Member and for a period of three years after the termination of
    the training program or resignation of the Member.
  2. The non-compete covenant shall apply to all activity within 50 miles of the address
    designated by the Apprentice/Candidate and/or Member upon joining the
    Association, as such address may be later amended.  
  3. By signing this document Apprentice-Candidate agrees to keep confidential the
    trade practices which will be presented in training or any time thereafter, and will
    not use or attempt to use the trade practices in connection with any other entity or
    business in which AC may have or hereafter acquire an interest, direct or indirect,
    nor shall Member disclose, duplicate, reveal, sell or sub-license the trade
    practices or any part thereof or any way transfer any rights in the trade practices
    except as authorized by us.


III. The Art Without Boundaries Association Membership


  1. The Association Membership fee is $3,000 and includes Membership, the training
    program, continuing education and registration of service area.
  2. Both artists and non-artists may open AWB Affiliated Chapters. Only artists can
    train to become a MnemeTherapist. Non-artists will be considered Entrepreneurs
    (ENT) and will hire independent contractors and/or employees to provide the
    MnemeTherapy services.
  3. As a condition of membership in The Art Without Boundaries Association, each  
    Member must first complete the online curriculum. Artists who will be delivering
    services must also be certified by a Master MnemeTherapist.

IV. Chapter Service Areas

  1. There are no assigned service areas. The AWBA Council has set service area
    guidelines to follow to insure compliance with state and federal regulations and
    equal access by the public.
  2. Graduates will receive a CAP formula (coverage according to population) to
    determine the number of counties a one artist chapter can cover.
  3. If the Chapter's Executive/Owner (CEO) wishes to add another county (above the
    CAP formula) it can be added to the service area for an additional membership
    fee, at $2.00 per CAP point, provided they are a) contiguous (must have touching
    borders) to original service area. b) have a CAP score under 100.
  4. Service area registration is included in the fee. The registry of occupied counties
    will be made available to perspective students.
  5. We are not opening new chapters in the following states: IL, MD, CA, VA, NY,RI,IN,
    WS,ND,SD,MN,MI,WA,HI  due to unfavorable Franchise laws. The exception to
    that rules is current students, and employee or Independent contractor
    applications from Chapters established before 1/01/10.
  6. Chapter Owners may recruit independent contractors from unserviced areas in
    the 14 states listed above.

V. Training Program

  1. A deposit of $100.00 is required before staring the curriculum.
  2. Successful candidates will be assign a MMT (Master MnemeTherapist) who will act
    as mentor throughout the training process, and oversee certification.
  3. The on-line training is self directed and can be taken at the student's own pace.
    The mentor will grade tests and give verbal exams over the phone. No one fails
    the course.
  4. When the student has successfully completed the on-line curriculum, the student
    and Mentor will mutually agree on the Certification time and place.
  5. The Certification exam requires 20 on-site, practicum hours in health care
    facilities, special schools, private schools, adult day centers or in private homes.
  6. The expenses of the Certification Week are the responsibility of the student and
    include travel, lodgings and meals. Since the Mentor will be riding with the student
    to the Training Hosts, additional transportation such as a rental car is not
    necessary.


VI. Association Membership Fee

  1. You have an option of paying the Association Membership fee ($3,000) in one
    payment or over several months. If you choose to pay over several months, you
    may not start the on-line curriculum until you have made your first payment or
    deposit ($100.00) and cannot complete the last unit on the process until you have
    made your last payment.
  2. If you choose to make payments, there will not be a credit check. You will be
    required to make a minimum monthly payment of $50. If your account is not
    current, you will not be given the link to the test so you can move on to the next
    unit. There is no finance or interest charged as long as you make your minimum
    monthly payments. If a payment is not made before the last day of the month, a
    late fee of $15.00 will be added to your account.
  3. If you do not make the minimum payment for 2 months, at the beginning of the 3rd
    month you will forfeit your Apprenticeship.

  6. If, for any reason, your personal check fails to clear the bank, you will be charged
    a penalty of $50.00 and your access to the curriculum revoked until the payment
    and penalty is received.
  7. Payment terms may be changed at the discretion of MnemeCorp, LLC at any time.
    You will be notified by email of any changes. If you wish to get a loan from an
    institution to make the payments you may do so.

VII. Recruiting to pay tuition

  1. If you recruit a qualified artist from another area and they are accepted into the
    program and pay their tuition, you will be paid a recruiting bonus of $500.00 credit
    on your account. If they make payments, you will receive 50% credit on each
    payment they make.
  2. If your tuition is paid in full, we will start a fund for your expenses during
    Certification Week.
  3. You will receive a link to instructions about recruiting upon request.

VIII. Using the eBay Giving Works program to pay your tuition

  1. AWBF is a member of the eBay "Giving Works" program. You may sell items on
    eBay and donate a portion to AWBF. 100% of this portion will be credited to your
    account and you will also receive a tax credit for donating it.
  2. You will receive a link to instructions about using the auctions upon request.

IX. On-site Training

  1. It is your responsibility to pay for the expenses of your final on-site training,
    whether you go to your mentor’s area or stay in yours. Those expenses will
    include travel, transportation, lodging, and meals and will be discussed and
    agreed upon between you and your mentor.
  2. You must be able to spend 5 business days with the mentor, with Saturday being
    optional, if more training is required.
  3. If your mentor comes to your area:
  1. You will set up as many training host locations/clients as possible. Ideally
    two per day, with a combination of autistic and dementia facilities and clients.
  2. You will offer the services free of charge to the Training Host.
  3.  You will be responsible for coordinating travel plans with your mentor,
    making airline and hotel reservations and providing transportation during
    the week.
  4.  Chapter co-operatives can share in the expense of bringing the mentor to
    area, but the two candidates will equally share the 10 training hosts and
    each pay their tuition of $3,000.
4.At the end of the Certification week, artists who successfully complete the program will
receive the certification of CMT- Certified MnemeTherapist.

X. Becoming a Member of the Art Without Boundaries Association

  1. Upon receiving your certification you will be invited to join AWBA and sign the
    member agreement and Code of Ethics
  2. Although our training includes how to get accounts, AWBA offers a training
    program but does not provide accounts for you or make any guarantees about
    the level of your success. Association Members are encouraged to help each
    other and some Members do one-on-one business consulting for a fee.
  3. There are no assigned or protected service areas. The AWBA Council has set
    service area guidelines to follow to insure compliance with state and federal
    regulations and equal access by the public. You will receive a CAP formula
    (coverage according to population) to determine the number of counties that a
    one artist chapter can cover. Service area registration is included in the
    Membership fee. New applicants will view a list of counties that are currently being
    serviced.
  4. If you wish to service more counties than the CAP formula allows,  those counties
    can be added to your service area for an additional membership fee, provided
    they are contiguous (must have touching borders) to original service area.
  5. You do not have to pay dues during your graduation month or the following
    month. On the first day of the third month you will pay $50 for the first
    MnemeTherapist in your chapter (you) and $25.00 for each additional
    MnemeTherapists (employees or independent contractors you may hire.)
  6. In addition to allowing you to use the name Art Without Boundaries and the
    process of MnemeTherapy, paying monthly dues will entitle your chapter to
    receive a page on the AWBF website. Your page will include photos taken during
    training, and photos you send in after you begin servicing accounts.

XI. Responsibilities of AWBA

  1. 1.Your chapter will receive a page on the AWBF website. It will include photos

  2. AWBF has tax exempt status under section 501 c 3 of the Internal Revenue Code.
    You will have the ability to send potential donors to the website to make tax
    deductible contributions and take advantage of any fund raisers that are taking
    place.

XII. Master MnemeTherapy Training

  1. Successful completion of The Master MnemeTherapist course entitles a Chapter
    Owner to be paid to recruit, train and certify students.
  2. MMTs can recruit and train CMTs and receive a training bonus of 75% of the paid
    tuition. Details and costs associated with this program are outlined in MMT
    Agreement. AWBA is not opening new chapters n the following 14 states: IL, MD,
    CA, VA, NY, RI,IN,WS,ND,SD,MN,MI,WA,HI.( with the exception of current students)
    MMTs can recruit independent contractors in those states.

    Cost of the MMT program:
  • If you were able to pay the whole tuition upon acceptance, the MMT course
    is free.
  • If you were able to pay half the tuition upon acceptance and half within 30
    days the MMT course is $600.  
  • If you were able to pay the whole tuition within 3 months the course is $900.
  • If you had to make monthly payments the cost is $1,200 for the MMT course.

    Criteria for taking the course:
  • Successfully opening an AWB Chapter by establishing a client base.
  • Having at least 3 months of experience with both Alzheimer’s and autistic
    client
  • If you intend on having students come to you for their final (only
    recommended if you cannot travel due to family obligations) you must have
    at least one business week of clients scheduled, both morning and
    afternoon with a mix of Alzheimer’s and autistic clients.

XIII. Termination of This Agreement  

  1. A: If you decide you no longer wish to participate in our program, you may notify
    us at any time, in writing of your exit date.
  2. If you are in the training program and are making payments, your payments will
    end on your exit date and no back payments will be due.
  3. If you have opened your chapter, your obligation to pay the membership dues
    ends on your exit date, but back dues must be paid.
  4. The Association Membership fee is non-refundable.

XIV. Entire agreement

    1.This agreement may be amended or modified only by way of written agreement
    between both parties
    2.This Agreement construed in accordance with and governed by the laws of the
    State of Florida.

This Apprentice Agreement has been signed by electronic means in the form below.
